AGRO-BIOGENICS Co would enter into business with Registered companies/ organizations, which have the main Objectives to set up APIX-SEP units in the different countries involved. Technology/ services are offered FREE

Business arrangements are generally on the basis of joint-venture partnerships.   Know-how on upgraded technologies/ product systems would be offered continually, FREE of cost, throughout the agreement period ... no royalties!

AGRO-BIOGENICS would combine with interested entrepreneurs, worldwide, to set up either in Joint-Venture partnerships or otherwise, to develop and commercialize the whole gamut of businesses that are germane to the concept of APIX-SEP. The total business potentials are estimated at US $4 trillion!

The following presentation is a gist of the Business Modalities for Technology Transfer/Joint ventures

1.      AGRO-BIOGENICS Co would either set up own ventures or combine with other interested entrepreneurs to set up APIX-SEP systems (such as APIX_10, APIX_30, APIX_100 and APIX_1000) as per specific needs of the situation at hand, and other down the line conversion needs.

 

2.      In view of the main thrust being that we utilize as much of the available village based agro-biogenic resources and local manpower, our projects would be set up in village areas.

 

3.      The entire Technology and Engineering systems of APIX-SEP programs would be Transferred to Venture-Partner Companies FREE OF COST. Further, any technology or new developments in all the related subject themes would be continually made available on the same “free-of-cost” basis throughout the Venture-Partnership period. Thus, any work, starting from Detailed Engineering data and Project Reports and Complete Plant/ Machinery/ Auxiliary systems Design, Fabrication, Packing, Transport, Erection, Trial run and Commissioning etc of the Process systems, would be AT COST, without any mark up. The venture-partner may also develop these at own levels, through market bidding process, under advice form Agro-Biogenics Co.

 

4.      In order that a Company could enter into Technology/ Business Venture-Partnership with Agro-Biogenics Co, the prime need is that the said Company would have to get themselves Registered in the appropriate countries of origin, with the main Objectives being to set up APIX-SEP programs in that country. Once such Collaborative venture-partnership agreement is entered into with any company in any country, the New Company would have FULL Rights to independently carry on business there. And, certain mutually binding business relationship aspects would also have to be agreed upon amongst the venture-partners, as appropriate to each country and situations.

 

5.      The said new Company in each such country would be required to initially offer 49% shares to Agro-Biogenics Co, out of which 19% would be diluted/ redeemed/ exited at the end of three years after commercialization of the project (but not later than a maximum of four and a half years form project set-up start, in any case). The exit would be on an agreed price per share for 100% of the shares diluted. If, due to any reason the new venture-partner company is unable to do so, the Principal Agro-Biogenics Co would bid for Market Dilution, at the Best available price or otherwise.

 

6.      Although the partner-company in any country would not have to pay any moneys for the technology transfer and engineering, there would be a nominal consultancy fees payment for specialist engineers and technical personnel who may be deputed to supervise or advise at the site. This would include up and down travel and all other incidentals too.

 

7.      It may be noted that whenever the main promoter (Hariharan PV) would be required to visit the site or the country of the venture-Partner company for any technical or related interactions, there would not be any consultancy fees or technical charges; but a small “service charge” @ US $1, 000 per visit would alone have to be paid, apart from the costs of all other travel and incidentals (maximum number of days per visit to be restricted to five ). This service charge would be fully utilized for further R & D works on APIX-SEP program developments.


Any other matters would be decided on the basis of mutually acceptable arrangement and agreement, as appropriate.

(NOTE: The above arrangement/ agreement matter would be transformed into a legal document by the legal advisors of Agro-Biogenics Co, and the venture-Partner company would be requested to enter into such a legal agreement for the Technology Transfer and other related business affairs, on the basis of “inter-Government” protocols on such matters)
